This Agreement (“Agreement”) is entered into between HOTSPOTPR BROADBAND INTERNET, LLC (“we,” “us,” or “HOTSPOTPR”) and you, the end user (“you,” “subscriber,” or “user”) of HOTSPOTPR Services (“Service”). By using HOTSPOTPR Services, you certify that you are at least 21 years of age and agree to comply with all policies of HOTSPOTPR. You understand that the Internet contains unedited and potentially offensive content; HOTSPOTPR does not censor or control such content. You access the Internet at your own risk. HOTSPOTPR reserves the right to refuse service to anyone. You agree not to use the Service in violation of local, state, or federal law, nor to engage in abusive, profane, libelous, slanderous, threatening, harassing, or unlawful activity.

1. INVOICES & PAYMENT 1)Monthly Billing. HOTSPOTPR invoices on the 1st day of each month, one (1) month in advance. 2)Payment Due Date. All payments are due on the 1st calendar day of each month. 3)Late Fees. Payments received after the 10th day incur a $10.00 late fee. 4)Past Due Termination.
If payment is not received by the 30th day, HOTSPOTPR may suspend or terminate Services without further notice and may charge a $50 reconnection fee. Nonpayment is exempt from the breach-cure process in Section 2 and follows this accelerated timeline. 5)Liability Upon Nonpayment. If HOTSPOTPR terminates for nonpayment, you remain liable for: a) unpaid service charges; b) the Early Termination Fee (ETF); c) all collection costs (attorney fees, court costs, process servers, collection agencies, travel). 6)Past-Due Invoices. Any invoice with a past-due balance becomes due immediately, regardless of its date. 7)Early Termination Fee (Unified Formula). If under a 12-month or longer term, and you terminate early (except within the Satisfaction Guarantee window): ETF = remaining monthly service charges OR $500, whichever is greater. This is the only valid ETF formula and supersedes all other formulas. 8)30-Day Satisfaction Guarantee (New Customers). You may cancel within 30 calendar days of contract start without penalty. Installation and CPE equipment fees are nonrefundable. 9) Cancellation Notice Requirement. The notice above expresses intent to cancel only. HOTSPOTPR will issue official cancellation forms. Cancellation becomes effective only when all forms are submitted and HOTSPOTPR issues written confirmation. 11) Installation & First-Month Charges. Installation and CPE charges must be paid at installation time. The first invoice includes: Installation charges Prorated current-month service Advance next-month service Billing begins once installation is complete.

2. TERMINATION OF AGREEMENT 1)Termination for Material Breach. Either party may terminate for a material breach not cured within 30 days of written notice. Exception: Nonpayment follows Section 1 and requires no cure notice. 2)Termination for Insolvency. Either party may terminate immediately upon bankruptcy, insolvency, reorganization, liquidation, assignment for creditors, or a written admission of inability to pay. 3)Customer Early Termination. You may terminate before the contract expiration only if: You are not in default; You provide 30-day written notice; You complete all official cancellation forms; You pay the ETF in Section 1.7. 4)Effective Date of Termination. Termination becomes effective only when HOTSPOTPR provides written confirmation.

3. CREDITS FOR NETWORK OUTAGES HOTSPOTPR provides service credits only when HOTSPOTPR documents a network outage and you request a credit. Outages exceeding 48 consecutive hours → 1-day service credit Credits do not apply to: Scheduled maintenance, CPE power loss Customer, LAN issues DNS failures outside HOTSPOTPR control, Premise wiring or equipment changes, Force Majeure events Situations where HOTSPOTPR can ping your CPE or router

4. WEBSITES & ILLEGAL USE You must comply with all applicable laws. Prohibited uses include: Pornography hosting, P2P or file-sharing systems Illegal, harmful, or abusive content HOTSPOTPR may restrict or require licensing for: VOIP services Video streaming Activities degrading network performance. Violations may result in immediate suspension and are deemed a breach, triggering the ETF.

5. TECHNICAL SUPPORT Support is limited to network connectivity. HOTSPOTPR does not provide: Computer training,Software installation or troubleshooting,Printer or driver support,Telephone wiring support,Repair of customer-owned devices

6. RESALE Resale of the Service is prohibited. You must indemnify HOTSPOTPR against any claims arising from illegal use or resale.

7. SPAMMING Unsolicited email distribution (“spam”) is prohibited and may result in immediate termination without notice.

8. PRIVACY POLICY HOTSPOTPR will not disclose personal information except as required by law (e.g., subpoena). Use of the Service or website constitutes acceptance of the Privacy Policy.

9. EQUIPMENT All HOTSPOTPR-provided equipment (CPE, radios, antennas, power supplies, routers, switches, cabling, etc.) remains HOTSPOTPR property. You may not sell, modify, tamper with, or transfer equipment. You are liable for: Current retail or replacement value (whichever is higher) Loss, theft, damage, misuse, or non-return Equipment must be returned within 5 calendar days after cancellation or termination. Failure to return will result in charges for full replacement value. Removal requests incur a service fee, determined by equipment type and location.

10. EQUIPMENT REMOVAL LIABILITY WAIVER HOTSPOTPR is not responsible for structural, cosmetic, or incidental damage that occurs during the removal of HOTSPOTPR-owned equipment. You waive all claims related to such removal.

11. HOLD HARMLESS & INDEMNIFICATION You agree to indemnify HOTSPOTPR from all claims arising from: misuse or modification of equipment,failure to safeguard equipment,injuries or property damage,access obstruction,failure to return equipment,issues caused by your internal network,your breach of this Agreement, This section survives termination.

12. TERM & AUTOMATIC RENEWAL Your contract automatically renews for the same term length unless HOTSPOTPR receives written non-renewal notice at least 30 days before expiration. Any upgrade, downgrade, or service change begins a new contract term.

13. FORCE MAJEURE HOTSPOTPR is not liable for delays or failures caused by events outside its control, including weather, war, riots, strikes, vendor failures, etc. If such events last more than 30 days, either party may cancel the affected service without liability. HOTSPOTPR is not liable for indirect, incidental, special, or consequential damages. Total liability shall not exceed the amount paid by you in the prior billing period. HOTSPOTPR disclaims all warranties, express or implied.

14. CHOICE OF LAW This Agreement is governed by Puerto Rico law. Jurisdiction lies exclusively with courts in Puerto Rico or the United States, as applicable. You agree to pay all costs, attorney fees, and collection expenses for any breach.

15. NO WAIVER Failure to enforce any provision does not waive HOTSPOTPR’s rights.

16. SEVERABILITY If any part of this Agreement is invalid, the remainder remains enforceable.

17. AMENDMENT HOTSPOTPR may remove content or suspend service if usage violates this Agreement.

18. RIGHT TO MONITOR HOTSPOTPR may monitor traffic and disclose information as required by law. HOTSPOTPR may remove content or suspend service if usage violates this Agreement.
